Overview and Opportunity
We are working with a global law firm in their search for a Finance Mid-Level Lawyer for their New York office, with a compensation package on offer of $310,000-$425,000.
Job description
You will provide world class insight on a broad range of bespoke credit facilities, as well as playing a key role in documenting and negotiating complex financial arrangements, including but not limited to NAV-based financings, management company lines of credit, employee co-invest lines of credit, among others.
Main Responsibilities:
- Provide legal advice and support on a broad range of finance-related matters
- Draft, review, negotiate, and advise on finance documents (e.g. loan agreements, security documents, derivatives, intercreditor arrangements)
- Structure financing transactions and liaise with internal stakeholders including treasury, tax, accounting, and business units
- Ensure compliance with relevant laws, regulations, and internal policies in finance operations
- Manage external counsel (e.g. supervising outside legal advisors)
- Identify, assess, and manage legal risks arising from financing activities
- Participate in corporate treasury, liquidity, and capital markets initiatives
- Support debt issuances, credit facilities, refinancing, and restructuring
- Monitor ongoing obligations under financing arrangements (covenants, reporting, etc.)
- Assist with cross-border financings and coordinate with local counsel in various jurisdictions
- Provide training or guidance to in-house teams on finance law issues
- Stay updated on legal and regulatory developments affecting finance and advise on impact
Ideal Candidate:
- 5-10 years of finance law experience
- Strong background in documenting and negotiating commercial lending transactions, including asset-based lending (ABL), cash flow loans, and specialty or lender finance matters
- Familiarity with private client focused facilities, including employee co-invest lines of credit, management company lines of credit, NAV-based financings, and subscription lines of credit
- Experience with secured and unsecured financings
- Ability to manage complex transactions and work collaboratively with cross-functional teams
- Must be willing to be based in the firm’s New York office
